By using the File Business LLC website (the "Site") or any related services ("Services"), you agree to be bound by these Terms of Service (the "Terms") and comply with all applicable laws and regulations. In these Terms, "you" and "your" refer to each customer, Site visitor, or user of the Services. "We," "us," and "our" refer to File Business LLC. 1-AGREEMENT TO TERMS
Overview
This Terms of Use Agreement (the "Agreement") constitutes a legally binding contract between File Business, LLC ("FB," "Company," "we," "us," or "our") and any User ("User," "Client," "you," or "your") who accesses, browses, interacts with, or utilizes https://www.file.business (the "Website") and any related services offered by FB (the "Services").
By accessing or using the Website or Services, you acknowledge, understand, and agree to be legally bound by this Agreement. If you do not agree to these Terms, you must immediately discontinue use of the Website and Services.
Binding Nature of Agreement
This Agreement is legally enforceable between:
FB as the provider of business filing, compliance, and corporate support services.
Users ("Clients"), including individuals, businesses, representatives, and entities accessing or utilizing FB's Services.
By using FB's Website or Services, Users agree that they have read, understood, and consent to comply with the terms outlined in this Agreement.
Who This Agreement Applies To:
- Registered Users
Individuals who create an account on FB's Website.
- Non-Registered Users
Visitors who browse the Website or access information without creating an account.
- Business Entities
Companies, corporations, partnerships, and legal entities using FB's Services.
- Authorized Representatives
Individuals acting on behalf of a business entity or another individual.
Users further agree that:
They have the legal authority to enter into this Agreement on behalf of themselves or a business entity.
They will comply with all applicable laws, regulations, and policies governing the use of FB's Services.
Misuse, fraudulent activity, or violation of these Terms may result in suspension, termination, or legal action.
Acceptance of Terms & Conditions
By accessing, browsing, or using the Website and Services, Users:
Acknowledge that they have read, understood, and agreed to be legally bound by these Terms.
Consent to the collection, use, and storage of their data in accordance with FB's Privacy Policy.
Agree to comply with all applicable laws and regulations related to corporate filings, business compliance, and regulatory obligations.
If a User does not accept or comply with these Terms, they must immediately stop using the Website and Services.
FB's Right to Modify Terms
FB reserves the right to modify, update, or change this Agreement at any time without prior notice.
Conditions of Modification:
Updates to the Terms may be made to reflect changes in laws, business operations, or best practices.
Modifications will take effect immediately upon posting on the Website.
FB is not obligated to notify Users individually of updates.
User's Responsibility to Review Changes:
Users are responsible for reviewing the Terms regularly to stay informed of any updates.
Continued use of the Website or Services after modifications constitutes acceptance of the updated Terms.
If a User does not agree with any modifications, their sole remedy is to discontinue use of the Website and Services.
Governing Law & Jurisdiction for Terms of Use
This Agreement shall be governed by and interpreted under the laws of the State of Florida.
Any disputes regarding these Terms shall be resolved exclusively in state or federal courts located in Tallahassee, Florida.
Users waive their right to participate in class-action lawsuits related to disputes arising from this Agreement.
Failure to comply with these Terms may result in legal action, service termination, or financial penalties.
2-DEFINITIONS
Overview
For the purposes of this Terms of Use Agreement, the following definitions apply. These definitions are intended to provide clarity and establish the meaning of key terms used throughout this Agreement.
By using the Website and Services, Users ("User," "Client," "you," or "your") agree to the definitions set forth in this section. If any term is unclear, the interpretation most favorable to FB shall apply.
“Website”
The term "Website" refers to:
https://www.file.business and all of its affiliated subdomains, web pages, digital platforms, and integrated services operated by FB.
Any web-based applications, mobile interfaces, or online portals that provide access to FB's Services.
Any content, tools, resources, or features made available through FB's online platform.
Users acknowledge that the Website's availability, functionality, or design may change at any time without prior notice.
“User” or “Client”
A “User” or “Client” refers to:
Any individual, business entity, or representative who accesses, interacts with, or utilizes FB's Services.
Any authorized person or representative acting on behalf of a company, partnership, or other legal entity using the Services.
Any individual who creates an account, submits a service request, or engages with FB's online platform.
User Obligations
By using the Website or Services, the User represents and warrants that they have the legal authority to enter into this Agreement and comply with applicable laws and regulations.
Business Entity Representatives
If a User is acting on behalf of a business entity, they must have legal authorization to bind the entity to this Agreement.
FB is not responsible for verifying the User's authority and assumes that all orders submitted are authorized.
Unauthorized Use
Any unauthorized use of FB's Services, including fraudulent activity or misrepresentation, is strictly prohibited and may result in account suspension, service termination, or legal action.
“Services”
FB provides a range of corporate compliance and business registration services. The term “Services” refers to, but is not limited to, the following:
Business Entity Formation & Incorporation
Filing Articles of Incorporation or Articles of Organization for new corporations, LLCs, partnerships, or other entities.
Name availability searches, business registration, and state compliance filings.
Assisting with EIN (Employer Identification Number) applications for new businesses.
Annual Report Filings
Filing required state reports to maintain business compliance and avoid penalties.
Tracking annual report deadlines and providing timely reminders for compliance.
Beneficial Ownership Information (BOI) Reporting
Assisting businesses with BOI compliance filings under federal regulations.
Submitting required information to government agencies on behalf of Clients.
Registered Agent Services
Acting as an official point of contact for receiving legal notices and government correspondence.
Maintaining compliance with state regulations regarding registered agents.
Corporation Reinstatement Services
Assisting dissolved or inactive entities in regaining good standing.
Filing necessary reinstatement paperwork with the appropriate state agencies.
Resolving outstanding compliance issues that led to administrative dissolution.
Corporate Compliance Solutions
Providing compliance monitoring, reminders, and filing assistance for state and federal regulations.
Helping businesses meet tax and corporate reporting obligations.
Advising on corporate structure changes, amendments, and conversions.
Additional Services Provided Through Affiliates & Third-Party Providers
FB may offer additional services through strategic partnerships, affiliate programs, and third-party vendors.
These services may include, but are not limited to, legal consultation, accounting, tax preparation, business insurance, and financial advisory solutions.
FB does not directly provide legal or tax services but may refer Clients to trusted third-party professionals.
“Third-Party Providers”
The term "Third-Party Providers" refers to external service providers, partners, and payment processors that facilitate or support FB's Services. This includes:
Government Agencies & Compliance Regulators
State and federal agencies responsible for business filings, corporate registrations, and regulatory compliance.
Examples: Secretary of State offices, IRS (Internal Revenue Service), FinCEN (Financial Crimes Enforcement Network), and other government entities.
FB is not responsible for delays, errors, or rejections caused by government agencies.
Payment Processors & Financial Institutions
Third-party payment platforms, banks, and financial service providers that handle transactions on behalf of FB.
Examples: Stripe, PayPal, ACH processors, and credit card payment gateways.
FB does not store full payment details and is not liable for issues arising from third-party payment processing errors.
Technology & Hosting Providers
Cloud service providers, cybersecurity firms, and web hosting platforms that maintain the Website's infrastructure.
These providers ensure data security, uptime reliability, and service availability.
Marketing & Affiliate Partners
Third-party businesses that promote FB's Services through referral programs or partnerships.
FB is not responsible for misrepresentations, unauthorized claims, or misleading advertisements by independent affiliates.
Legal, Tax, & Compliance Partners
Independent law firms, CPA firms, or compliance specialists that offer related services.
FB does not provide legal or tax advice directly but may refer Clients to third-party professionals.
Other External Service Providers
Companies offering business solutions that integrate with FB's platform, such as virtual office services, trademark registration, and credit-building programs.
No Endorsement or Liability for Third-Party Services
By using FB’s Website and Services, Clients acknowledge and agree that:
FB is not responsible for third-party providers’ services, terms of use, or policies.
FB does not guarantee the performance, accuracy, or reliability of third-party services.
Clients should review the terms, privacy policies, and disclaimers of any third-party provider before engaging with them.
Governing Law & Interpretation of Definitions
All definitions outlined in this section shall be interpreted under the laws of the State of Florida.
If any definition is found to be ambiguous, the interpretation most favorable to FB shall apply.
FB reserves the right to modify, update, or redefine any term as necessary to reflect business operations.
3-ELIGIBILITY & ACCOUNT REGISTRATION
Overview
File Business, LLC ("FB," "Company," "we," "us," or "our") provides corporate filing, compliance, and business registration services. To access and use FB’s Website and Services, Users ("User," "Client," "you," or "your") must meet specific eligibility criteria and comply with registration requirements.
By registering an account or using FB’s Services, you represent, warrant, and agree to the conditions set forth in this section. FB reserves the right to suspend or terminate accounts if any eligibility requirements are not met or if fraudulent, misleading, or unlawful activity is suspected.
Age & Legal Authority Requirement
Users must be at least 18 years old to create an account and use FB’s Services.
Users must have the legal capacity to enter into a binding contract under applicable laws.
If a User is registering on behalf of a business entity, they must:
a) Have full legal authority to act on behalf of that entity.
b) Ensure that all information provided is accurate and reflects the entity’s true legal standing.
FB is not responsible for verifying a User’s authority to act on behalf of an entity and assumes that all registrations are legitimate and authorized.
Accuracy of Information Provided
By creating an account or submitting a service request, Users agree to provide true, accurate, and complete information, including but not limited to:
- Full legal name
- Business name (if applicable)
- Current mailing address and contact details
- Valid email address and phone number
- Taxpayer Identification Number (TIN) or Employer Identification Number (EIN), if required
Obligation to Maintain Accurate Information
Users must update their account information immediately if any details change.
Providing false, misleading, or outdated information may result in delays, service rejection, or account termination.
FB is not liable for errors, delays, or government rejections caused by inaccurate information provided by the User.
Verification of Information
FB reserves the right to request additional documentation to verify a User’s identity or business legitimacy.
Failure to comply with a verification request may result in service suspension, order cancellation, or legal action.
Restrictions on Use & Prohibited Activities
Users agree not to use the Website or Services for any unlawful, fraudulent, or unauthorized purposes, including but not limited to:
Fraudulent or Misleading Registrations
Registering a business entity using false, stolen, or misleading information.
Misrepresenting ownership, business structure, or legal standing.
Attempting to impersonate another individual or business entity.
Unlawful or Unauthorized Business Activities
Using FB’s Services for money laundering, tax evasion, identity theft, or illegal financial transactions.
Registering a business entity to engage in fraudulent, deceptive, or unlawful practices.
Attempting to use FB’s Services in jurisdictions where they are not legally permitted.
Security Violations & Misuse of Website
Attempting to hack, disrupt, or interfere with FB’s Website, database, or payment processing systems.
Accessing restricted areas of the Website without authorization.
Distributing malware, phishing attempts, or other malicious software through the Website.
Violation of FB Policies & Intellectual Property
Copying, scraping, or reproducing content from FB’s Website without permission.
Using FB’s trademarks, logos, or proprietary materials without authorization.
Engaging in negative campaigns, defamation, or misleading statements about FB (covered under Section 10 – Non-Disparagement Clause).
Right to Suspend or Terminate Accounts
FB reserves the right to suspend, restrict, or terminate User accounts at its sole discretion if:
Fraudulent, misleading, or incomplete information is provided during registration.
A User engages in unauthorized or illegal activity using FB’s Services.
Payment disputes, chargeback fraud, or multiple failed payment attempts occur.
A User violates any of the Terms outlined in this Agreement.
Suspension Process & Notice
FB will attempt to notify the User via email before suspending or terminating an account.
However, in cases of fraud, illegal activity, or severe violations, immediate termination may occur without prior notice.
Consequences of Account Termination
Users will lose access to their account, service history, and pending filings.
Any services in progress may be canceled, and refunds will not be issued for terminated accounts.
FB may report fraudulent or unlawful activity to government authorities or law enforcement.
Multiple Accounts & Account Sharing Restrictions
Each User is allowed only one registered account unless approved by FB.
Accounts cannot be shared, transferred, or sold to another individual or entity.
Any unauthorized use or multiple registrations may result in account suspension or termination.
Account Security & User Responsibility
Users are responsible for maintaining the security and confidentiality of their account credentials.
Account Access & Unauthorized Use
Users must not share passwords or login details with third parties.
If unauthorized access is suspected, the User must notify FB immediately.
FB is not responsible for losses or damages resulting from unauthorized account access due to User negligence.
Account Recovery & Password Reset
If a User loses access to their account, a password reset request must be submitted through the Support Center.
FB may require identity verification before granting access to a locked or compromised account.
Compliance with Local & International Laws
Users must comply with all applicable laws, regulations, and licensing requirements when using FB’s Services.
If operating outside the United States, Users are responsible for ensuring compliance with their local business registration laws.
FB is not liable for a User’s failure to comply with federal, state, or international regulations governing their business.
Governing Law & Interpretation of Definitions
All disputes related to account registration, suspension, or eligibility shall be governed by the laws of the State of Florida.
Users agree to resolve disputes through arbitration in Tallahassee, Florida, as outlined in Section 8 – Dispute Resolution & Governing Law.
No class-action lawsuits or jury trials shall be permitted for account-related disputes.
4-DESCRIPTION OF SERVICES & PROCESSING TIME
Overview
File Business, LLC ("FB," "Company," "we," "us," or "our") provides a range of business filing and compliance services, including but not limited to:
- Business entity formation and incorporation
- Annual report filings
- Beneficial Ownership Information (BOI) reporting
- Registered Agent services
- Corporation reinstatement services
- Corporate compliance solutions
- Additional services provided through affiliates and third-party providers
FB aims to process orders promptly; however, processing times are dependent on factors beyond our control, including government agency timelines, third-party service providers, and client responsiveness. By using FB’s Services, Clients ("User, " "you, " or "your") acknowledge that processing times are estimates, not guarantees, and that compliance deadlines remain their sole responsibility.
Standard Processing Timeframes
FB processes orders within 3 business days, provided that all required information and documentation are submitted correctly and completely.
State and federal agencies may take significantly longer to process filings, approvals, and compliance reports. FB is not responsible for government agency delays.
If a filing is submitted with errors, missing documentation, or incomplete information, processing may be delayed until the Client provides the required corrections.
Expedited processing may be available for an additional fee, but it remains subject to government agency and third-party provider turnaround times.
Factors That May Affect Processing Times
FB strives for efficient and timely processing; however, the following factors may impact the overall turnaround time:
Government & Regulatory Delays
State or federal processing backlogs may cause extended wait times beyond FB’s control.
Regulatory changes, audits, or new legal requirements may result in additional processing steps.
Government holidays or office closures may temporarily suspend filings or approvals.
Client Submission Errors or Omissions
Incomplete or incorrect information provided by the Client may result in delays or rejections.
If a filing is returned or rejected by a government agency, FB will notify the Client, but it is the Client’s responsibility to correct and resubmit the required information.
Third-Party Service Providers & Payment Processing
FB may utilize third-party providers for specific services, including payment processing, compliance verifications, and expedited government filings.
If a third-party service provider experiences technical issues, system outages, or processing backlogs, Client orders may be delayed as a result.
Client Responsiveness & Communication
If additional documentation, verification, or clarification is required, FB will notify the Client via email or the User Panel.
Failure to respond promptly may extend processing times indefinitely.
Clients are responsible for checking their email and User Panel regularly to ensure they meet compliance deadlines.
Business Hours & Support Availability
FB’s business hours are Monday – Friday, 9:00 AM – 5:00 PM EST, excluding federal holidays.
Orders submitted outside of business hours or on holidays will be processed on the next available business day.
Support inquiries regarding processing status must be submitted through the Support Center and will be handled during normal business hours.
Client Responsibilities & Compliance Obligations
By using FB’s Services, Clients agree to:
Ensure timely submission of all required information, documentation, and supporting materials.
Meet government filing deadlines to avoid late fees, penalties, or loss of good standing.
Respond promptly to requests for additional information or corrections.
Review and verify the accuracy of all filings before submission.
Monitor the status of their filings and compliance obligations through the User Panel.
Failure to Provide Accurate Information May Result In:
Delays in processing, rejection of filings, or additional fees for resubmission.
Late penalties imposed by government agencies, which FB is not responsible for.
Potential loss of business entity status, fines, or regulatory action.
No Liability for External Processing Delays
FB is not responsible for delays, penalties, or legal consequences resulting from:
Processing times imposed by government agencies.
Errors, omissions, or incomplete submissions by the Client.
Delays due to third-party payment processors or service providers.
Client’s failure to monitor deadlines or compliance requirements.
Clients assume full responsibility for ensuring their business remains in compliance and for any late fees or penalties imposed by state or federal authorities.
Expedited & Rush Services
Expedited processing options may be available for an additional fee, but government agency processing times still apply.
Expedited service does not guarantee same-day or next-day approval, as final processing is subject to government review.
If an expedited request is delayed due to state or federal agency backlogs, the Client is not entitled to a refund of the expedited service fee.
Governing Law & Interpretation of Definitions
This section is governed by the laws of the State of Florida.
Disputes related to processing times or service delivery must be submitted through the Support Center before seeking arbitration or legal action.
FB is not liable for damages, losses, or penalties due to government agency delays or compliance failures beyond our control.
5-FEES, PAYMENT TERMS & THIRD-PARTY PAYMENT PROVIDERS
Overview
File Business, LLC ("FB," "Company," "we," "us," or "our") provides business filing, compliance, and corporate services, which require upfront payment for processing. By purchasing any service from FB, Users ("User," "Client," "you," or "your") agree to the pricing, payment terms, and non-refundable policy outlined in this section.
FB uses third-party payment processors to handle financial transactions securely and reserves the right to modify pricing, payment terms, and available payment methods at any time.
Payment Terms & Non-Refundable Fees
All payments for FB services are due in full at the time of purchase unless otherwise stated.
Non-Refundable Fees
Once a service enters processing, the payment is final and non-refundable, except under the conditions stated in Section 6 (Refund & Cancellation Policy).
Government fees and third-party service charges are non-refundable under any circumstances.
Expedited processing fees, rush orders, and priority service charges are non-refundable once initiated.
Accepted Payment Methods
FB accepts credit cards, debit cards, ACH bank transfers, PayPal, and other approved third-party payment methods.
Payments must be made through authorized payment gateways, and FB does not accept cash, checks, or cryptocurrency payments.
Payment Timing & Authorization
Payment must be received before service processing begins.
Clients authorize FB and its payment processors to charge their selected payment method for the full service amount.
If a payment is declined, rejected, or reversed, FB reserves the right to suspend or cancel the order until payment is received.
Third-Party Payment Processors
FB partners with third-party payment processors (e.g., Stripe, PayPal, ACH transfer services) to process transactions securely.
User Acknowledgment of Third-Party Payment Terms
Transaction processing times may vary, and FB is not responsible for payment delays caused by third-party providers.
Payment disputes, fraud alerts, or chargeback requests must be resolved with the payment processor, not FB.
Third-party payment processors may impose additional transaction fees, which are non-refundable.
By making a payment, Clients agree to abide by the terms and conditions of the third-party payment provider handling their transaction.
Secure Payment Processing & Data Protection
FB does not store full payment card details; all transactions are processed through PCI-compliant third-party services.
Clients should not share payment information via email, phone, or live chat for security reasons.
Pricing, Taxes & Surcharges
FB reserves the right to adjust pricing, fees, and applicable taxes at any time without prior notice.
Pricing Adjustments
Service fees may be modified based on changes in government filing costs, third-party fees, or operational costs.
Promotional pricing, discounts, or special offers may be time-limited and subject to eligibility requirements.
Sales Tax & Other Charges
Depending on the Client’s location, FB may be required to collect and remit sales tax or other applicable government-imposed taxes.
Any additional surcharges applied by payment providers (e.g., international transaction fees, currency conversion fees) are the sole responsibility of the Client.
Currency & Payment Conversions
All transactions are processed in U.S. dollars (USD) unless otherwise stated.
If a payment is made in a foreign currency, conversion rates and fees are determined by the Client’s bank or payment processor, and FB is not responsible for any exchange rate fluctuations.
Late Payments & Outstanding Balances
Clients must ensure that payments are made in full and on time.
Consequences of Late Payments
Orders will not be processed until full payment is received.
If an invoice remains unpaid for more than 30 days, FB reserves the right to cancel the order or suspend access to services.
If a Client owes an outstanding balance, FB may:
a) Charge late fees or interest on overdue amounts.
b) Restrict access to future services until the balance is settled.
c) Pursue legal action or debt collection measures to recover unpaid amounts.
Insufficient Funds & Payment Failures
If a payment fails due to insufficient funds, expired cards, or bank errors, the Client must provide an alternative payment method within 3 business days.
Multiple failed payment attempts may result in service cancellation and additional penalties.
Chargeback & Payment Dispute Policy
To prevent fraudulent disputes and unauthorized payment reversals, Clients waive their right to initiate chargebacks under Section 9 (Chargebacks, Payment Disputes & Penalties).
Unauthorized chargebacks may result in financial penalties, account termination, and legal action.
Clients must submit all billing disputes through the Support Center before filing a chargeback.
Automatic Renewals for Subscription Services
If a Client subscribes to an ongoing service, such as Registered Agent services, the following automatic renewal terms apply:
Recurring Billing Authorization
Clients authorize FB to automatically charge their saved payment method for subscription fees.
Subscription renewals will be processed on the due date unless canceled in advance.
Cancellation of Subscription Services
Clients must submit cancellation requests at least 7 days before the next billing cycle to avoid automatic renewal charges.
No refunds will be issued for past subscription charges once the renewal payment is processed.
Expired or Declined Subscription Payments
If a subscription payment fails due to an expired card or insufficient funds, the Client must update their payment information within 5 business days.
Failure to do so may result in service suspension or termination.
No Payment Plans or Deferred Billing
FB does not offer payment plans, financing options, or deferred billing arrangements.
All services must be paid in full at the time of order placement.
Partial payments are not accepted unless explicitly agreed upon in writing.
Governing Law & Interpretation of Definitions
All payments, fees, and transactions are governed by the laws of the State of Florida.
Any disputes regarding payments must be resolved in the courts of Tallahassee, Florida.
Clients waive their right to participate in class-action lawsuits related to payment disputes.
6-REFUND & CANCELLATION POLICY
Overview
File Business, LLC ("FB," "Company," "we," "us," or "our") provides professional business filing, compliance, and corporate support services. Due to the nature of these services, all payments made to FB are final and non-refundable, except as explicitly stated in this Refund & Cancellation Policy.
By using the Website and Services, Users ("User," "Client," "you," or "your") agree that refunds and cancellations are subject to the terms outlined in this section and that all refund requests must be submitted through the designated refund request process before any dispute or chargeback is initiated.
Refund Request Process
To ensure transparency and efficiency, all refund requests must follow the steps below:
Submit a refund request through the User Panel
Users must log in to their account and navigate to "Billing and Payments" → "Request a Refund."
Refund requests submitted through email, phone calls, or chat will not be processed.
Provide required details
Users must include the order number, transaction date, payment method, and reason for refund request.
Refund requests must be submitted within 7 days of purchase unless otherwise specified.
Processing time
Refunds may take up to 10 business days to be reviewed and processed.
Users will receive a confirmation email once the refund request is approved or denied.
Failure to follow the refund request procedure may result in automatic denial of the refund request.
Non-Refundable Fees & Services
FB provides services that often require immediate processing. Accordingly, the following fees are non-refundable under all circumstances:
State Filing Fees & Government Charges
Payments made to state or federal agencies (e.g., Secretary of State, IRS, FinCEN, Sunbiz, etc.) are non-refundable, as these payments are governed by third-party regulations.
If a government agency rejects, delays, or modifies a filing, the fees paid to them remain non-refundable.
Third-Party Service Provider Fees
FB may engage third-party payment processors, compliance partners, or document preparation services on behalf of Clients.
Any fees charged by these providers are non-refundable, regardless of service status.
Services Already Submitted or Completed
Once a service has been submitted to a government agency or completed, no refunds will be issued.
This includes:
- Business entity formations (LLCs, corporations, partnerships, etc.)
- Registered Agent services
- Annual report filings
- Beneficial Ownership Information (BOI) reports
- Corporation reinstatements
- Name reservations or amendments
Expedited & Rush Services
Expedited processing fees are non-refundable once an order has been placed.
If a User requests faster service but the government agency does not process the request on time, FB is not responsible for external delays.
Custom or Personalized Services
Any service that requires manual preparation, document customization, or unique business consulting is non-refundable once work has commenced.
This includes:
- Business consultation services
- Custom corporate document drafting
- Licensing and permit application assistance
Subscription-Based Services

If a Client believes they were charged incorrectly, they must provide proof of erroneous billing (e.g., duplicate charges, incorrect pricing).
Failure to follow this process may result in account suspension, denial of future services, or legal action.
Refund Processing & Payment Methods
Approved refunds will be processed using the original payment method.
Refunds to credit/debit cards or ACH payments may take up to 10 business days to reflect in the Client’s account.
FB is not responsible for banking delays, currency conversion fees, or third-party processing timeframes.
No Refunds for Dissatisfaction or Buyer’s Remorse
Refunds will not be granted for:
User dissatisfaction with the government agency's response, processing time, or outcome.
Failure to read and understand FB’s Terms of Use, Refund Policy, or Service Limitations.
Failure to use the purchased service within a reasonable period.
FB provides clear descriptions of services before purchase, and Users are responsible for understanding the scope of each service before completing payment.
Special Circumstances for Refunds
At FB’s sole discretion, refunds may be considered in exceptional cases, including:
Duplicate transactions due to technical errors.
Incorrect service selection, provided the error is reported immediately.
Processing failure caused by a system outage or platform error.
Refunds granted under these circumstances will be processed on a case-by-case basis, and Users must submit supporting documentation.
Governing Law & Interpretation of Definitions
All refund disputes shall be governed by the laws of the State of Florida.

User Errors and Omissions
Incorrect, incomplete, or outdated information provided by the Client, resulting in rejections or additional processing time.
Failure by the Client to review filings before submission or respond to government inquiries in a timely manner.
Failure to meet required deadlines, resulting in penalties, additional fees, or involuntary dissolution of a business entity.
Technical Failures and Website Downtime
Internet connectivity issues, server outages, cybersecurity threats, or data transmission failures.
Unforeseen technical glitches or software bugs affecting service accessibility.
Errors in automated filings or integrations with third-party systems beyond FB’s control.

FB is not responsible for the actions, errors, or omissions of third-party service providers, government agencies, or payment processors.

Client’s Assumption of Risk & Indemnification

The Client’s business will be profitable, compliant, or successful following incorporation.
The Client’s legal filings will be accepted without modification by state or federal authorities.
The Client’s business will avoid penalties, audits, or legal challenges.
Clients are solely responsible for maintaining compliance with:
State and federal tax laws.
Ongoing reporting requirements and deadlines.
Licensing, permit, and regulatory obligations.
FB does not assume liability for any failure by the Client to maintain their business in good standing.
Legal Disclaimers & Governing Law
This Disclaimer and Limitation of Liability section shall be governed by and interpreted under the laws of the State of Florida.

By using the Website and Services, Users ("User," "Client," "you," or "your") agree to abide by the dispute resolution procedures outlined in this section and waive their right to file or participate in a class-action lawsuit against FB.
Mandatory Dispute Resolution Process
- Submit a dispute resolution request via the Support Center.
The request must include a detailed description of the dispute, supporting documentation, and any relevant correspondence.
- Allow FB at least 14 business days to investigate and attempt resolution.
FB will review the dispute and may request additional information if necessary.
- Participate in good faith discussions to resolve the issue.
If the dispute is resolved, both parties must honor the agreed-upon resolution.
- Proceed to arbitration if no resolution is reached within 30 days.
Failure to follow this process before seeking arbitration or legal action constitutes a breach of this Agreement and may result in dismissal of claims.
Binding Arbitration Agreement
If a dispute cannot be resolved through the Support Center, both parties agree to resolve all claims through binding arbitration, rather than litigation in court.
Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) or another mutually agreed-upon arbitration body.
The arbitration will take place in Tallahassee, Florida, unless otherwise required by law.
A neutral arbitrator will be selected by mutual agreement or, if necessary, appointed by the arbitration body.
Arbitration shall be conducted in English, and all proceedings shall remain confidential and private.
The arbitrator’s decision shall be final and binding, with no right to appeal except as permitted under the Federal Arbitration Act (FAA).
Waiver of Class Action & Jury Trial Rights
By using FB’s Website and Services, Clients waive their right to participate in class-action lawsuits or mass arbitration proceedings against FB.
No Class Actions: Disputes must be brought on an individual basis only and cannot be combined with other claims.
No Jury Trials: Clients waive their right to a jury trial in any arbitration or court proceeding.
Individual Arbitration Only: All claims shall be arbitrated individually, and no claims may be consolidated without mutual agreement.
If a User files a class action lawsuit in violation of this Agreement, the claim will be subject to immediate dismissal, and the User will be liable for FB’s legal costs and fees.
Exceptions to Arbitration Requirement
While arbitration is the primary dispute resolution method, FB reserves the right to pursue legal action in court under the following circumstances:
Non-Payment, Chargebacks, or Financial Fraud
If a User fails to pay outstanding fees, initiates a fraudulent chargeback, or engages in financial misconduct, FB may file a lawsuit to recover damages.
Intellectual Property Violations
FB may seek injunctive relief, cease-and-desist orders, or financial damages for unauthorized use of its trademarks, copyrights, or proprietary content.
Defamation or Non-Disparagement Violations
If a User publicly spreads false information that harms FB’s reputation, legal action may be taken to enforce the Non-Disparagement Clause.
Threats to Website Security or Unauthorized Access
Any hacking, cyberattacks, unauthorized data access, or other malicious actions may be prosecuted in court.
In these cases, FB may bypass arbitration and file lawsuits in state or federal courts in Florida.
Governing Law & Jurisdiction
This Agreement and any disputes arising from it shall be governed by and interpreted under the laws of the State of Florida, without regard to its conflict-of-law principles.
Venue: All disputes that proceed to court shall be filed exclusively in the state or federal courts of Tallahassee, Florida.
Personal Jurisdiction: By using the Website and Services, Users agree to submit to the jurisdiction of Florida courts and waive objections based on venue, forum non conveniens, or other procedural challenges.
Limitation on Claims & Statute of Limitations
Users must file any claims related to this Agreement within one (1) year from the date of the disputed event.
Claims filed after the one-year period will be permanently barred, unless otherwise required by law.
This limitation period applies to all claims, including those related to:
Payment disputes, service complaints, and refund requests.
Breach of contract, negligence, or any other civil claims against FB.
Arbitration Costs & Attorney’s Fees
Each party shall bear its own arbitration costs and legal fees, unless the arbitrator determines that the claim was filed in bad faith or is frivolous.
If FB prevails in arbitration or court, the User may be required to reimburse FB for its legal expenses, including arbitration filing fees, attorney’s fees, and court costs.
Severability of Dispute Resolution Terms
If any part of this Dispute Resolution & Governing Law section is found to be unenforceable, the remaining provisions shall remain in full effect.
If the class action waiver is found unenforceable, all disputes shall proceed in individual arbitration, not as a class action.
If the arbitration agreement is deemed invalid, disputes shall proceed exclusively in Florida courts under this Agreement’s governing law provisions.
9-CHARGEBACKS, PAYMENT DISPUTES & PENALTIES
Overview
File Business, LLC (“FB,” “Company,” “we,” “us,” or “our”) provides services that involve business entity formation, compliance filings, registered agent services, and other corporate solutions. Due to the nature of these services, all payments made to FB are final and non-refundable once processing has begun. To prevent fraudulent payment disputes, this section prohibits Users ("User," "Client," "you," or "your") from initiating chargebacks for valid transactions. By using FB’s Services, you expressly waive your right to file a chargeback with your bank, credit card company, or payment provider.
If a Client initiates a chargeback or payment dispute in violation of this Agreement, FB reserves the right to recover financial losses, impose penalties, and take legal action against the Client.
Chargeback & Payment Dispute Waiver
By engaging in a transaction with FB, the Client agrees not to dispute or request a chargeback for any payment made for:
Business entity filings and registrations.
Annual reports and compliance services.
Beneficial Ownership Information (BOI) reporting.
Registered Agent services.
Any other FB service, including those provided through third-party partners.
Clients must submit all billing inquiries and refund requests through FB’s Support Center before attempting any dispute resolution with their payment provider. Failure to do so constitutes a material breach of this Agreement.
Refund & Dispute Resolution Process
To address any concerns regarding payments, Clients must:
Submit a formal refund request via the User Panel under "Billing and Payments" in the "Request a Refund" tab.
Provide supporting documentation explaining why they believe a refund or correction is warranted.
Allow up to 10 business days for FB to investigate and respond.
Cooperate with FB’s customer support team in resolving any disputes.
If a Client fails to follow this process and instead initiates a chargeback, the penalties outlined in Section 9.4 will apply.
Chargeback Recovery Fees & Financial Penalties
Chargeback Recovery Fee
A $500 non-refundable administrative fee will be imposed per disputed transaction to cover the costs of chargeback processing, investigation, and dispute resolution.
Reversal of Chargeback & Account Reinstatement Fee
If a Client wishes to reinstate their account after initiating a chargeback, they must:
Repay the full disputed amount plus any fees charged by the payment processor.
Pay an additional $250 account reinstatement fee before regaining access to FB’s Services.
Legal Action Fee & Collection Costs
If legal action is required to recover losses from an unauthorized chargeback, the Client agrees to:
- Pay a $5,000 legal action fee to cover attorney’s fees, court costs, and administrative expenses.
- Reimburse FB for any additional damages, penalties, or third-party collection fees.
Blacklisting & Service Termination
Clients who initiate fraudulent chargebacks may be permanently banned from using FB’s Services.
FB reserves the right to report repeat offenders to financial institutions, fraud databases, and credit reporting agencies.
Chargeback Fraud & Legal Consequences
Filing a false chargeback constitutes fraud under federal and state laws. Clients who engage in chargeback fraud:
May face civil and criminal penalties for misrepresenting transactions.
Can be reported to law enforcement, the Federal Trade Commission (FTC), and financial fraud bureaus.
May be subject to a lawsuit in the jurisdiction of FB’s choosing, with all legal fees, damages, and penalties payable by the Client.
Clients acknowledge that FB will pursue the maximum available legal remedies against those who attempt to defraud the Company.
Prohibited Chargeback Scenarios
Clients agree not to initiate chargebacks for the following:
Completed Services
If FB successfully submits a filing, completes a compliance service, or provides access to a paid feature, the transaction is considered final.
Dissatisfaction with processing time, third-party delays, or government agency timelines does not qualify for a chargeback.
Failure to Read Terms of Use or Service Policies
Clients cannot claim ignorance of FB’s Terms of Use, refund policies, or billing policies as a reason for a chargeback.
All Clients are required to review and agree to these terms before completing a purchase.
Voluntary Account Termination or Service Cancellation
Clients who voluntarily close their account, cancel a service, or fail to use the purchased service are not eligible for a refund or chargeback.
Third-Party Payment Failures or Bank Disputes
FB is not responsible for banking errors, declined transactions, or third-party payment processing failures.
Clients must resolve such issues directly with their financial institution or payment provider.
Alternative Payment Dispute Resolution
Clients who believe they have been incorrectly charged or overbilled must:
Submit a dispute request through the Support Center.
Provide evidence supporting their claim.
Allow up to 10 business days for investigation and resolution.
Agree to comply with FB’s final decision.
If FB determines that a billing correction is warranted, it may issue a refund at its sole discretion, but such refunds do not waive this chargeback policy.

Clients agree that all legal proceedings related to payment disputes must be filed in state or federal courts located in Tallahassee, Florida.

10-NON-DISPARAGEMENT CLAUSE

Spreading False Claims About Financial Transactions or Services
Filing false complaints about FB’s services to payment processors, banks, or regulatory authorities.
Attempting to manipulate chargeback processes by making fraudulent claims about transactions.
Misrepresenting FB’s refund policies, cancellation terms, or service commitments.
Required Dispute Resolution Before Public Complaints
Before posting any public complaints, Users must first attempt to resolve disputes through FB’s Support Center.
Users must submit a formal complaint through the Support Center and allow FB at least 14 business days to investigate and respond.
If a resolution is reached, Users agree to withdraw or amend any previous negative statements about FB.
If a User publicly posts a negative statement before seeking resolution, FB reserves the right to take legal action to enforce this clause.
Users acknowledge that publicizing disputes without first seeking resolution constitutes a material breach of this Agreement.
Legal Consequences for Violating This Clause
If a User engages in prohibited disparaging conduct, FB reserves the right to enforce this clause by taking the following actions:

FB may issue a written demand requiring the User to immediately remove or retract false or defamatory statements.

Public Retraction Requirement
FB may seek a court order requiring the User to issue a public correction, retraction, or apology.

Account Termination & Service Restrictions
FB reserves the right to suspend or permanently terminate the User’s account without refund.
Users engaging in repeated disparagement may be blacklisted from future services.
Reporting to Third-Party Authorities
If the disparaging conduct involves false financial claims, FB may report the User to:

- Consumer protection agencies for spreading misleading business complaints.
- State and federal regulatory agencies for filing false reports.
Exemptions & Good Faith Reviews
FB does not restrict Users from expressing honest opinions or lawful criticism, provided that:
The statements are factual, verifiable, and made in good faith.
The User has first attempted to resolve the issue through the Support Center.
The complaint is based on personal experience and not third-party claims.
Constructive feedback is welcomed and encouraged through private support channels. However, intentional falsehoods, exaggerations, or coordinated attacks are prohibited under this clause.
Reporting Violations & Removal Requests
Users and third parties who identify false or defamatory content regarding FB may report it by:
Submitting a complaint via the Support Center.
Providing the exact URL, post, or comment that contains false statements.
Including evidence demonstrating that the statements are inaccurate or malicious.
FB will review the report and may take action, including issuing takedown requests, cease-and-desist letters, or legal proceedings.
Non-Disparagement for Affiliates, Partners, and Contractors
This clause applies not only to Users but also to:
